01 Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of RankStarz (the "Service"), operated by RankStarz LLC ("RankStarz", "we", "us", or "our").

By creating an account or using RankStarz, you agree to these Terms. If you don't agree, don't use the Service.

If you're using RankStarz on behalf of a business, you represent that you have authority to bind that business to these Terms.

02 The Service

RankStarz is an automated review and reputation management platform that helps small businesses request, collect, and manage customer reviews via SMS and email.

Features may be added, modified, or removed at our discretion. We'll notify you of major changes.

03 Your Account

You must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain the security of your password
• Notify us immediately of unauthorized access
• Be responsible for all activity under your account

You may not:

• Share your account with others
• Create accounts using false identities
• Use RankStarz if you've been previously banned

04 Acceptable Use

You agree NOT to use RankStarz to:

• Send spam or unsolicited messages
• Contact people who haven't given you permission to contact them
• Violate any laws including TCPA, CAN-SPAM, GDPR, or CCPA
• Impersonate any person or business
• Send harassing, threatening, or harmful content
• Manipulate or fake reviews
• Pay customers in exchange for positive reviews
• Use RankStarz for political campaigning or fundraising
• Scrape, reverse engineer, or attempt to access source code
• Interfere with the Service's operation
• Resell or sublicense the Service without our written permission

Violations may result in immediate account suspension or termination without refund.

05 Free Trial

New customers receive a 14-day free trial. During the trial:

• No payment is required
• All features are available
• You may cancel anytime with no charge

At the end of the trial, your card will be charged automatically for the subscription plan you selected, unless you cancel before the trial ends.

Free trials are limited to one per person/business.

06 Subscription and Billing

RankStarz is offered as a monthly subscription.

Pricing:

• Current pricing is shown on rankstarz.com/pricing
• We may change pricing with 30 days' notice
• Existing subscribers keep their current rate for at least one billing cycle after any price change

Billing:

• Charges occur monthly on the same day as your initial subscription
• All charges are in US Dollars unless otherwise noted
• Taxes are your responsibility
• Payment is processed via Stripe or PayPal

Failed payments:

• We'll retry the payment for up to 7 days
• Your account may be suspended after repeated failed payments
• Suspended accounts can be reactivated by updating payment info

07 Cancellation and Refunds

You may cancel your subscription anytime from your account dashboard or by emailing info@rankstarz.com.

When you cancel:

• You retain access until the end of your current billing period
• No refunds for partial months unless required by law
• Your data is retained for 90 days then deleted

We may issue refunds at our discretion in cases of service outages, billing errors, or fraud.

08 Discount Codes

Discount codes are subject to their specific terms (expiration, maximum uses, applicable plans).

We reserve the right to:

• Modify or cancel any discount code at any time
• Refuse codes that appear to be misused
• Limit one discount code per customer per transaction (unless stated otherwise)

Codes have no cash value and cannot be transferred.

09 Your Content and Customer Data

You retain all rights to:

• Customer information you upload
• Review request templates you create
• Your business logo and branding
• Feedback received from your customers

By using RankStarz, you grant us a license to process this content solely to provide the Service to you.

You represent that:

• You have the right to upload all customer data you provide
• Your customers have consented to be contacted
• Your content does not violate any laws or third-party rights

10 Reviews and Reputation

RankStarz helps you request reviews from your customers. We do NOT guarantee:

• Any specific number of reviews
• Any specific rating outcome
• That reviews will appear on Google or any third-party platform
• That negative reviews will not appear

The negative-rating filter routes private feedback to you BEFORE the customer is sent to a public review site. We do not block or delete public reviews — that decision belongs to the customer and the platform.

11 Third-Party Services

RankStarz integrates with third-party services including Google, Stripe, PayPal, Twilio, SendGrid, Zapier, Square, Shopify, and QuickBooks. We are not responsible for the availability, performance, or content of these services.

Use of third-party services is governed by their own terms.

12 Intellectual Property

RankStarz, the RankStarz logo, and all related branding, software, designs, and content are owned by RankStarz LLC and protected by copyright, trademark, and other laws.

You may not:

• Copy, modify, or distribute our software or content
• Use our trademarks without written permission
• Remove copyright or proprietary notices

We may use your business name and logo (with your permission) to showcase RankStarz customers on our website or marketing materials. You can opt out by emailing info@rankstarz.com.

13 Disclaimers

RankStarz is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

We don't guarantee:

• Uninterrupted or error-free service
• That all bugs will be fixed
• That the Service will meet your specific business needs
• The accuracy of any data or analytics

Use RankStarz at your own risk.

14 Limitation of Liability

To the maximum extent permitted by law:

• RankStarz is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim arose
• This applies regardless of the legal theory (contract, tort, negligence, etc.)

15 Indemnification

You agree to indemnify and hold harmless RankStarz LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or messages you send through the Service

16 Termination

You may stop using RankStarz anytime.

We may suspend or terminate your account if:

• You violate these Terms
• We're required to by law
• Your account has been inactive for over 12 months
• We cease operating the Service

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (intellectual property, disclaimers, liability limits, indemnification) will survive.

17 Changes to Terms

We may update these Terms occasionally. When we do, we'll update the "Last updated" date and, for significant changes, notify you by email or in-app banner.

Continued use of RankStarz after changes means you accept the updated Terms.

18 Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of laws principles.

Any disputes will be resolved in the state or federal courts located in Colorado. You agree to submit to the personal jurisdiction of those courts.

19 Dispute Resolution

Before filing any formal legal action, you agree to first contact us at info@rankstarz.com and attempt to resolve the dispute informally. We'll do the same with you. Most disputes can be resolved this way.

If we can't resolve informally within 60 days, either party may pursue legal action.

20 Severability

If any part of these Terms is found unenforceable, the rest remains in effect.

21 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RankStarz regarding the Service. They supersede any prior agreements.

22 SMS / Text Message Communications

SMS Program Description

By providing your mobile phone number to a business that uses RankStarz, you consent to receive SMS text messages from that business requesting a review of the service or product you received. These messages are sent on behalf of the business using the RankStarz platform.

Business Responsibility for Consent

Businesses using RankStarz are solely responsible for obtaining proper SMS opt-in consent from their customers before adding their phone numbers to the platform. Businesses agree they will not enter phone numbers that have not provided affirmative consent to receive SMS review requests.

Message Frequency

Message frequency varies based on each individual business's usage and the services you've received from them. You will typically receive one (1) SMS per completed service or purchase, with no more than five (5) messages per business per 30 days in any case.

Message and Data Rates

Message and data rates may apply. Your mobile carrier may charge you for sending and receiving SMS messages. RankStarz and the participating businesses are not responsible for any carrier charges incurred. Please contact your mobile carrier for details about your messaging plan.

Opt-Out Instructions

You can opt out of SMS messages at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message. Reply HELP for help. After you opt out, you will receive one final SMS confirming your opt-out, and no further messages from that business through the RankStarz platform.

Supported Carriers

Supported carriers include AT&T, Verizon, T-Mobile, Sprint, and most other US wireless carriers. Carriers are not liable for delayed or undelivered messages.
